NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into as of January 5, 2025, by and between:

1. Disclosing Party: Rekognita Technologies Inc., a Delaware corporation ("Company")
2. Receiving Party: _______________ ("Recipient")

1. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" means any and all non-public information provided by the Disclosing Party, including but not limited to:

• Trade secrets and proprietary technology
• Business plans, financial data, and customer lists
• Software source code and algorithms
• Marketing strategies and product roadmaps

2. OBLIGATIONS

The Receiving Party agrees to:

1. Hold all Confidential Information in strict confidence
2. Not disclose to any third party without prior written consent
3. Use Confidential Information solely for the Purpose
